1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Lumier Studios, a creative production agency ("Company," "we," "our," or "us").

By accessing our website at lumierstudios.com (the "Site"), engaging our services, or entering into a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Services Overview

Lumier Studios provides AI-powered cinematic commercial production services, including but not limited to:

• Strategic creative consultation and planning
• Script development and copywriting
• AI-assisted video production and editing
• Motion graphics and visual effects
• Sound design and music integration
• Performance optimization and analytics

2.1 Service Tiers

3. Engagement and Booking

3.1 Consultation Booking

Consultations are booked through our online scheduling system (Calendly). By booking a consultation, you agree to:

• Provide accurate contact and business information
• Attend at the scheduled time or provide 24-hour cancellation notice
• Pay any applicable consultation fees prior to the session

3.2 Project Commencement

Production projects commence upon:

• Execution of a project-specific agreement or statement of work
• Receipt of required deposit (typically 50% of project total)
• Delivery of all necessary client materials and approvals

4. Payment Terms

4.1 Payment Schedule

Commercial Production	50% deposit, 50% upon delivery
Creative Retainer	100% due at start of each month

4.2 Payment Methods

We accept payment via:

• Credit/debit cards (Visa, Mastercard, American Express)
• Bank transfer (ACH/wire)
• PayPal

4.3 Late Payment

Invoices are due within 7 days of issuance unless otherwise agreed. Late payments may incur:

• 1.5% monthly interest on outstanding balances
• Suspension of ongoing work
• Withholding of deliverables until payment is received

5. Intellectual Property Rights

5.1 Client Materials

You retain all ownership rights to materials you provide, including logos, brand assets, product images, and existing content. You grant us a limited, non-exclusive license to use these materials solely for the purpose of performing the Services.

5.2 Deliverable Ownership

Upon full payment: All rights, title, and interest in the final deliverables transfer to you, including:

• Finished video files in all delivered formats
• Scripts and storyboards created for your project
• Custom graphics and animations

5.3 Company Retained Rights

We retain the right to:

• Portfolio Use: Display completed work in our portfolio, website, and marketing materials unless you request confidentiality in writing
• Process and Methodology: Our production techniques, workflows, AI prompts, and proprietary processes
• Pre-Existing Materials: Stock footage, music, fonts, and templates licensed for the project remain subject to their original license terms

5.4 Third-Party Content

Deliverables may include licensed content from third parties (stock footage, music, fonts). These elements remain subject to their respective licenses. We will ensure appropriate licensing for your intended use, but extended or international licensing may require additional fees.

5.5 AI-Generated Content

Our Services utilize artificial intelligence tools for content generation. You acknowledge:

• AI-generated elements are created using industry-standard tools and practices
• We warrant that deliverables do not intentionally infringe third-party rights
• Any resemblance to existing copyrighted works is unintentional
• We will work to resolve any legitimate infringement claims

6. Creative Process and Revisions

6.1 Approval Workflow

1. Concept/Script Approval: Written approval required before production begins
2. First Draft Review: Client reviews initial cut and provides consolidated feedback
3. Revision Rounds: Number of revisions per project tier (see Service Tiers above)
4. Final Approval: Written sign-off on final deliverable

6.2 Revision Policy

• Included Revisions: All packages include unlimited revision rounds within the approved concept scope
• Scope Changes: Revisions that change the approved concept, add new scenes, or require significant rework fall outside scope and may incur additional charges
• Out-of-Scope Work: Billed at $150/hour with prior written approval
• Response Time: Clients must provide revision feedback within 5 business days to maintain project timeline

6.3 Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide clear, comprehensive briefs and brand guidelines
• Deliver all required materials by agreed deadlines
• Provide timely feedback and approvals
• Designate a single point of contact for project decisions
• Attend scheduled review calls and creative sessions

7. Timelines and Delivery

7.1 Estimated Timelines

Blueprint Session	Scheduled within 7 days, document delivered within 48 hours post-session
Commercial Production	14-21 business days from brief approval
Retainer Productions	7-10 business days per commercial

7.2 Delays

Timelines assume timely client feedback and approvals. Delays caused by client (late materials, delayed feedback, scope changes) may extend delivery dates accordingly. We will communicate any anticipated delays promptly.

7.3 Rush Orders

Expedited delivery may be available for an additional fee (typically 25-50% of project cost). Availability depends on current production capacity.

8. Cancellation and Refund Policy

8.1 Consultation Cancellations

• 24+ hours notice: Full refund or reschedule
• Less than 24 hours: 50% cancellation fee
• No-show: No refund

8.2 Production Cancellations

• Before production start: Full refund minus 10% administrative fee
• During production: Deposit non-refundable; you receive all work completed to date
• After first draft delivery: No refund; full payment due

8.3 Retainer Cancellations

Either party may terminate retainer agreements with 30 days written notice. Current month's payment is non-refundable, and any work in progress will be completed.

9. Confidentiality

Both parties agree to maintain confidentiality of:

• Business strategies, plans, and proprietary information
• Unreleased creative materials and campaigns
• Pricing and commercial terms
• Technical processes and methodologies

Confidentiality obligations survive termination of the relationship for a period of 2 years.

10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that:

• Services will be performed professionally and in accordance with industry standards
• Deliverables will substantially conform to approved specifications
• We have the right to provide the Services and grant the licenses described herein

10.2 Disclaimers

We do not warrant or guarantee:

• Specific business results, ROI, or conversion rates
• Viral performance or audience reach
• Platform algorithm favorability
• Third-party platform availability or policies

11. Limitation of Liability

In no event shall we be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, data, or business opportunities
• Costs of substitute services
• Damages arising from client's use of deliverables

12. Indemnification

You agree to indemnify, defend, and hold harmless Lumier Studios and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your breach of these Terms
• Your use of the deliverables
• Content or materials you provide
• Your violation of third-party rights
• Your advertising claims or regulatory compliance

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt good-faith negotiation to resolve any dispute. Contact us at legal@lumierstudios.com to initiate discussions.

13.2 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

13.3 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration in Los Angeles County, California, in accordance with AAA Commercial Arbitration Rules. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

13.4 Class Action Waiver

You agree that any disputes will be conducted solely on an individual basis and not as a class action or other representative proceeding.

14. General Provisions

14.1 Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between the parties regarding the subject matter herein.

14.2 Amendments

We may update these Terms at any time. Material changes will be communicated via email or prominent Site notice. Continued use after changes constitutes acceptance.

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

14.4 Waiver

Failure to enforce any right or provision shall not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.6 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
